Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Cyber Nerve Center website, platform, and related services (the "Services") provided by Cyber Nerve Center ("Cyber Nerve Center," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization.

1. Eligibility & Accounts

You must be at least 18 and able to form a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

2. The Services

Cyber Nerve Center provides continuous-compliance and GRC tooling, including AI-assisted analysis and reporting. We may update, enhance, or modify the Services over time. During any evaluation, beta, or early-access period, the Services are provided for testing and may change or be discontinued.

3. Acceptable Use

You agree not to: (a) use the Services unlawfully or in violation of third-party rights; (b) attempt to gain unauthorized access to the Services or related systems; (c) interfere with or disrupt the integrity or performance of the Services; (d) reverse engineer or misappropriate the Services except as permitted by law; or (e) use the Services to build a competing product.

4. Customer Content

You retain all rights to the data and materials you submit to the Services ("Customer Content"). You grant us a limited license to host, process, and use Customer Content solely to provide and improve the Services and as described in our Privacy Policy. You are responsible for the accuracy and legality of Customer Content and for having the necessary rights to submit it.

5. AI Features & Outputs

The Services include artificial-intelligence features that generate summaries, risk intelligence, and recommendations ("AI Outputs"). AI Outputs are assistive and may be incomplete or inaccurate. They do not constitute legal, regulatory, or professional advice. You are responsible for reviewing AI Outputs and for all compliance, risk, and business decisions you make. You will maintain appropriate human oversight and not rely on AI Outputs as the sole basis for a material decision.

6. Intellectual Property

The Services, including all software, content, and trademarks (other than Customer Content), are owned by Cyber Nerve Center or its licensors and are protected by intellectual-property laws. No rights are granted except as expressly stated in these Terms.

7. Fees

Fees, if any, will be described in an order form or subscription plan. Unless stated otherwise, fees are non-refundable. Free, evaluation, or beta use may be offered at our discretion and withdrawn at any time.

8. Confidentiality

Each party will protect the other's non-public information disclosed in connection with the Services using at least reasonable care, and use it only to perform under these Terms.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR COMPLETE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYBER NERVE CENTER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR USD $100 IF NO FEES WERE PAID.

11. Indemnification

You will defend and indemnify Cyber Nerve Center against third-party claims arising from your Customer Content or your use of the Services in violation of these Terms, to the extent permitted by law.

12. Term & Termination

These Terms apply while you use the Services. We may suspend or terminate access for violation of these Terms or to protect the Services. Upon termination, your right to use the Services ceases; sections that by their nature should survive will survive.

13. Governing Law

These Terms are governed by the laws of [STATE / JURISDICTION], without regard to conflict of law rules, and the parties consent to the exclusive jurisdiction of the courts located there.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date. Continued use after changes constitutes acceptance.
